Important Notifications for Physical Shareholders

  • Physical Shareholders – Forms for updating mandatory details

    As per SEBI Master Circular No. SEBI/HO/MIRSD/POD-1/P/CIR/2024/37 dated May 7, 2024 has issued, inter alia, guidelines on "Common and Simplified Norms for Processing Investor's Service Requests by RTAs and norm for furnishing PAN, KYC details and Nomination." The said master circular mandates all the shareholders holding shares in physical form to update their KYC details i.e., PAN, Nomination, Contact details (Postal Address with PIN and Mobile Number), Bank account details and Specimen signature in their corresponding Folio numbers.

    Shareholder(s) in whose folio(s) PAN, KYC and Nomination details are not updated, will not be eligible -

    1. to lodge any grievance or raise services request with the Registrar and Transfer Agent (RTA);

    2. for payment of dividend, in respect of such folios, through physical instruments such as DD, cheque, dividend warrants etc. Dividend shall be payable only in electronic mode upon updation of aforesaid KYC details.

    In view of the same, shareholders are requested to furnish valid KYC to our RTA viz. Kfin Technologies Limited by submitting below mentioned Forms, to avoid any inconvenience / delay in processing of service request due to non-updation said KYC details, and also to ensure dividend credit in their bank account, as no dividend will be paid to physical shareholders by way of issuance of physical instruments effective April 1, 2024.

    1. ISR – 1      : Updation of PAN and KYC details
    2. ISR – 2     : Confirmation of signature of securities holder by bank
    3. ISR – 3     : Declaration for opting out of Nomination
    4. ISR – 4     : Request for issue of Duplicate Certificate and other Service Requests
    5. SH – 13    : Registration of nomination
    6. SH – 14    : Cancellation or variation of Nomination

    Sasken was incorporated in the State of Gujarat on February 13, 1989 as ASIC Technologies Pvt. Ltd., as a private limited company under the Indian Companies Act, 1956. It changed its name to Silicon Automation Systems (India) Pvt. Ltd. in 1992, to reflect the principal business that it was engaged in. A fresh certificate of incorporation consequent to the change of name was issued by the Registrar of Companies, Gujarat on October 13, 1992. In 1993, Sasken changed its registered office from the State of Gujarat to the State of Karnataka. The Company changed its name to Silicon Automation Systems Ltd. and a fresh certificate of incorporation consequent to the change of name was issued by the ROC on December 30, 1998.

    The company changed its name to Sasken Communication Technologies Limited., in order to reflect the broader and diversified business interests. A fresh certificate of incorporation consequent to the change of name was issued by the ROC on October 17, 2000. Sasken went public in 2005. Subsequently name of the Company is changed to Sasken Technologies Limited and fresh certificate of incorporation consequent to the change of name was issued by the ROC on February 14, 2017.
